- Client Content – Any materials, information, or documentation supplied by the client, including job descriptions and candidate criteria.
- Deliverables – The agreed services or outputs provided under the Agreement.
- Company Tools – Internal methodologies, templates, systems, databases, or processes used by dynamicsrecruiters.com.
- Final Deliverables – Completed recruitment services or candidate submissions provided under the Agreement.
- Project – A specific recruitment assignment or service engagement.
- Services – Recruitment, sourcing, consulting, or related activities provided by dynamicsrecruiters.com.
- Third-Party Materials – Content, tools, or services provided by external parties.
Development / Service Delivery
Services are delivered in accordance with the agreed milestones or timelines. We apply professional judgment and commercially reasonable efforts in providing recruitment services.
Results may vary depending on market conditions and candidate availability.
Proposal / Scope of Work
Unless otherwise stated, proposals remain valid for 30 days. If not accepted within that period, we reserve the right to revise terms and resubmit an updated proposal.
Compensation
- Fees
Service fees are defined in the Agreement.
- Additional Costs
Third-party expenses, if applicable, are billed separately unless explicitly included.
- Expenses
Approved expenses may be invoiced at cost.
- Taxes
Clients are responsible for applicable taxes unless otherwise stated.
Payment
Invoices are due within five (5) calendar days unless a different schedule is agreed in writing. Payment may follow milestone-based arrangements where specified.
Changes to Project Scope
All change requests must be submitted in writing.
Minor adjustments that do not significantly alter scope may be accommodated within the existing Agreement.
Major changes affecting scope, timeline, or fees require a supplemental agreement or revised proposal. Revised proposals remain open for acceptance for fourteen (14) working days unless otherwise stated.
Delays
Delays resulting from late client approvals, incomplete information, or unavailable materials may extend timelines proportionally.
If delays occur on our side, we will communicate promptly and work toward resolution.
Events beyond reasonable control, including force majeure circumstances, shall not be considered a breach and may result in adjusted timelines.
Evaluation and Acceptance
We conduct internal quality checks before delivering services.
Clients are requested to review deliverables within seven (7) working days and provide feedback.
Reasonable revisions, where applicable, will be addressed within an agreed timeframe.
Client Responsibilities
Clients must provide accurate, lawful, and complete information necessary for recruitment activities.
Unless otherwise agreed, clients remain responsible for final verification and decision-making regarding candidates.
Timely responses and approvals are required to maintain agreed timelines.
Accreditation and Promotion
Unless otherwise agreed in writing, dynamicsrecruiters.com may reference completed projects or collaborations in portfolios or marketing materials.
Neither party shall unreasonably withhold consent to factual references.
Confidential Information
Both parties agree to maintain confidentiality of non-public information shared during the engagement.
This obligation does not apply to information that is publicly available or lawfully obtained from other sources.
Relationship of Parties
dynamicsrecruiters.com operates as an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
We may use subcontractors where appropriate while remaining responsible for service delivery.
Limitation of Liability
To the extent permitted by applicable law, services are provided “as is.” Our total liability for any claim related to services shall not exceed the amount paid for the specific services giving rise to the claim.
Rights to Work Produced
Upon full payment, clients receive a non-exclusive, worldwide license to use Final Deliverables as agreed.
Company Tools and internal methodologies remain the property of dynamicsrecruiters.com unless expressly transferred in writing.
Support Services
Ongoing support is provided only if explicitly agreed. Additional support services may incur separate fees.
Any warranty or support obligation may be void if materials are altered by third parties without consent.
Updates to Terms
We may update these Terms and Conditions at any time. The current version posted on dynamicsrecruiters.com governs use of the website and services. Continued use constitutes acceptance of any revisions.
